Terms of Service

1. Acceptance of terms
By accessing or using the Metriq service (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. The Service is provided by Metriq (“Metriq”, “we”, “our”, or “us”).
2. Description of service
Metriq is an analytics platform that connects to advertising accounts and other business data sources you authorize, aggregates performance metrics, and delivers reports, digests, and diagnostic insights through messaging interfaces and web dashboards. The Service is currently offered in private preview to authorized users only.
3. Authorized use
You may use the Service only if you are at least 18 years old and authorized to connect any accounts you integrate. You represent that you have the right to grant Metriq access to the data you connect and that such access does not violate any agreement with the underlying platform.
4. Your data; ownership
You retain all rights to the data you authorize Metriq to access (“Your Data”). By using the Service, you grant Metriq a limited, non-exclusive, revocable license to access, process, store, and display Your Data for the sole purpose of providing the Service to you. Metriq does not claim any ownership in Your Data.
5. Platform terms pass-through
When Metriq accesses third-party platforms on your behalf (for example, Meta, Google, or TikTok), that access is also governed by those platforms’ developer policies and terms. You agree that your use of the Service must comply with those terms as they apply to you.
6. Acceptable use
You agree not to:
- Use the Service to access data you are not authorized to access.
- Reverse engineer, decompile, or attempt to derive source code of the Service, except to the extent such restriction is prohibited by law.
- Interfere with or disrupt the integrity or performance of the Service or attempt to gain unauthorized access to it.
- Use the Service to build a competing product by copying substantial features or interfaces.
- Use the Service in any manner that violates applicable law, infringes intellectual-property rights, or breaches a third-party platform’s terms.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we handle data.
8. Availability; no warranty
The Service is provided on an “as is” and “as available” basis. Metriq does not guarantee that the Service will be uninterrupted, error-free, or available at any particular time. To the maximum extent permitted by law, Metriq disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Metrics shown by the Service depend on third-party APIs; their accuracy and availability are outside our control. Decisions made on the basis of Service output are your responsibility.
9. Limitation of liability
To the maximum extent permitted by law, Metriq shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the Service, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to the Service shall not exceed the greater of the amounts paid by you to Metriq in the twelve months preceding the event giving rise to the claim or one hundred United States dollars (US$100).
10. Suspension and termination
Metriq may suspend or terminate access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service at any time by revoking access on connected platforms and contacting admin@metriq.cc to request account deletion. Sections that by their nature should survive termination will survive.
11. Changes to the Service or Terms
Metriq may modify the Service or these Terms from time to time. Material changes to the Terms will be announced to active users by email before taking effect. Continued use of the Service after such changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of Ukraine, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved in the courts located in Kyiv, Ukraine, and you consent to the jurisdiction of those courts.
